1. Acceptance of Terms

By browsing, accessing, or contracting services with ApexFlow Digital ("ApexFlow", "we", "us"), you acknowledge and agree to be bound by these Terms and Conditions. If you are acting on behalf of a company or legal entity in the UAE or internationally, you represent that you possess the authority to bind such entity to these provisions.

2. Scope of Services

ApexFlow Digital provides bespoke search engine optimization (SEO), sub-second web engineering, programmatic link building, generative engine optimization (GEO), and autonomous AI workflow development. Specific deliverables, milestone schedules, and compensation terms are governed by individual Statements of Work (SOW) executed between ApexFlow and the client.

3. Client Deliverables & Intellectual Property

• Ownership: Upon receipt of full payment for contracted milestones, all customized website source code, client-specific automation blueprints, and content assets created specifically for the client become the client's sole property.
• Zero Vendor Lock-in: ApexFlow delivers complete repository access, deployment credentials, and operational documentation so clients maintain sovereign operational control.
• Pre-existing Tooling: ApexFlow retains ownership of its proprietary internal auditing tools, foundational boilerplate libraries, and reusable script modules.

4. Search Engine & AI Algorithms Disclaimer

ApexFlow adheres strictly to white-hat, industry-standard engineering practices and algorithmic guidelines established by Google, Microsoft, and AI search platforms. However, search engine algorithms, Generative AI rankings, and third-party platform policies fluctuate outside of direct agency control. While we implement high-impact strategies verified across hundreds of queries, guaranteed rankings on specific positions cannot be legally warranted by any credible agency.

5. Confidentiality & Data Security

Both parties agree to treat all commercial secrets, server credentials, customer lists, and financial figures exchanged during the engagement with strict confidentiality. Non-Disclosure Agreements (NDAs) are routinely executed prior to project kickoff.

6. Governing Law & Jurisdiction

These Terms and any individual agreements shall be construed and governed in accordance with the laws of the Emirate of Dubai and the Federal Laws of the United Arab Emirates. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the Courts of Dubai (or DIFC Courts where mutually designated).
